Mb Adv S.r.l. TERMS AND CONDITIONS

These terms & conditions apply to all business relationships among Mb Adv S.r.l. and its Clients:

1. Orders

It is possible to order via our Internet shop (shop.motorbikeadventure.com)

The offer relevant to products and services illustrated via e-mail or via the internet is not a binding offer. Mb Adv S.r.l. reserves its right to modify and/or cancel specific articles and services at its sole discretion and in any moment. The order is done by filling in the on line forms for purchasing via the internet. Mb Adv S.r.l. reserves its right to accept or to do not accept the order (even after paid). Mb Adv S.r.l. does not accept orders from the UK with a goods value below GBP 136,00 VAT Excluded: in the event that an order of less than GBP 136.00 from the United Kingdom is placed and paid by the Client, Mb Adv S.r.l. will reject the order and return the entire amount paid by the Client.

It is always needed to specify in the comments field “Order and delivery comments” the motorbike (model-make-model year) which the article will be installed on, and/or the size of the article (ie. Helmet, Jackets, Trousers exc,). The delivery address shall be as much precise and exhaustive as possible. Possible additional shipping costs incurred by Mb Adv S.r.l. for incorrect address provided by the Client will be debited by Mb Adv S.r.l. to the Client. Orders with incomplete fiscal or delivery information will not be processed and carried out. The Client who provides wrong or false fiscal information is held legally responsible for whatever consequence and costs which Mb Adv S.r.l. may incur in. For orders placed via our internet shop an automatic confirmation e-mail for confirmation of the order reception will be sent (not acceptance). The same automatic confirmation is not provided for orders placed via other methods. Client declares to accept the present terms & conditions filling in the electronic form on our internet shop and placing via it the order.

2. Prices

Prices shown are expressed in Euro (VAT included) and include Italian VAT by law (22% at the date of writing of these terms and conditions), not inclusive of the contribution for packaging and shipping costs:

1. EUROPEAN UNION CLIENTS: For purchases to be done by Clients resident or domiciled in Italy or in Countries part of the European Union (EU), relevant Italian VAT or the local VAT for each EU Country will be explicitly quantified and applied (in the percentage/amount identified by the Italian/EU Country of destination Law) during the ordering process, visible to the Client with the possibility for the Client to interrupt the order in any moment, before payment. At the same time, during the ordering process and with the same method, relevant contribution for packaging and shipping costs will be displayed;

2. CLIENTS OUTSIDE EUROPEAN UNION: For purchases to be done by Clients resident or domiciled in Countries outside of the European Union (EU), Mb Adv S.r.l. will not quantify and not apply Italian VAT or other EU Countries’ ones, therefore, during the order process, VAT will not be added to the original price and to the contribution for packaging and shipping costs. Even in the case of Clients resident outside of the European Union (EU), during the ordering process, the contribution for packaging and shipping will be separately displayed. During the import stage instead, at the destination Country, local receiving Country authorities, during Customs operations, will establish the exact amount of VAT (if any) together with Customs duty and possible further customs administrative costs (all of them at Client’s charge, to be considered additional to the goods price and to the contribution for packaging and shipping).

Either in the case of alternative ordering methods or in the case of our internet shop not being able to automatically indicate, for any reason, the amount of the contribution for packaging and shipping costs, Mb Adv S.r.l. will communicate via e-mail to the Client the amount of the contribution itself and will wait for her/his written acceptance of it, before confirming the order acceptance and processing it.

3. Validity of Prices

At the date of the order, the valid price list is that one shown on the internet shop. Every variation to it cancel the previous one and remain into force until next possible modification.

Mb Adv S.r.l. (shop.motorbikeadventure.com) reserves the right to request the Client to pay for price supplements even after the order has been placed by the Client in the event that the item, items or services ordered by the Client have undergone an increase of the respective price/prices at the Supplier or at the Suppliers who supply Mb Adv S.r.l.

4. Payments

Payments are done in Euro by the following methods:

1. Credit/Debit Cards, either directly via Mb Adv S.r.l. internet shop (shop.motorbikeadventure.com) or indirectly via PayPal (even in the case the Client has not a PayPal account), in both cases via secured/protected procedure (up to Euro 2,500.00);

2. Directly via PayPal (up to Euro 2,500.00), via secured/protected procedure;

3. Bank Transfer (no limit);

5. Delivery

It will be carried out according to timing, methods and couriers selected by Mb Adv S.r.l. (unless alternative solutions, always of Mb Adv S.r.l. final choice, are identified and agreed in writing with the Client and quantified in terms of costs from time to time). For details, please refer to our Shipping Terms.

Refund requests for undelivered parcels will not be accepted if, through the information systems of the Courier, the delivery of the relative shipment results instead carried out.

6. Shipping costs (Domestic: to Italy)

The contribution for packaging and shipping to Italy are at Client’s charge and are quantified according to weight of parcel, to volume of packaging, to destination and to type of selected delivery. For orders placed via the internet shop, relevant contribution for packaging and shipping costs will be explicitly quantified during the ordering process, visible to the Client, and added to the price, with the possibility for the Client to interrupt the order in any moment, before payment. Either in the case of alternative ordering methods or in the case of the shop internet not being able to automatically indicate, for any reason, the amount of the contribution for packaging and shipping costs, Mb Adv S.r.l. will communicate via e-mail to the Client the amount of the contribution itself and will wait for her/his written acceptance of it, before confirming order acceptance and relevant processing of it. The contribution for packaging and shipping will be separately displayed on the relevant invoice. The total amount to be paid includes also the contribution for packaging and shipping costs.

7. Shipping Costs (International: to abroad)

Countries (nations), where Mb Adv S.r.l. decides to ship to or not to ship to the goods and services (to commercialise to, to not commercialise to), are selected at its sole judgement, always in compliance to the Italian law. The contribution for packaging and shipping costs is at Client’s charge and is quantified according to weight of the parcel, to volume of packaging, to destination and to type of selected delivery. For orders placed via the internet shop, relevant contribution for packaging and shipping costs will be explicitly quantified during the ordering process, visible to the Client, and added to the price, with the possibility for the Client to interrupt the order in any moment, before payment. Either in the case of alternative ordering methods or in the case of the shop internet not being able to automatically indicate, for any reason, the amount of the contribution for packaging and shipping costs, Mb Adv S.r.l. will communicate via e-mail to the Client the amount of the contribution itself and will wait for her/his written acceptance of it, before confirming order acceptance and relevant processing. The contribution for packaging and shipping will be separately displayed on the relevant invoice. The total amount to be paid includes also the contribution for packaging and shipping costs.

For destinations outside the EU, Customs duties and possible further customs administrative costs are at Client’s charge. For purchases to be done by Clients resident or domiciled in Countries outside of the European Union (EU), during the import stage, at the destination Country, local receiving Country authorities, during Customs operations, will establish the exact amount of VAT (if any) together with Customs duties and possible further customs administrative costs (all of them at Client’s charge, to be considered additional to the goods price and to the contribution for packaging and shipping). These costs will be quantified to the Client by the Courier at the end of Customs operations and paid by the Client to the Courier at goods delivery.

The contribution for packaging and shipping will be separately displayed on the relevant invoice. The total amount to be paid includes also the contribution for packaging and shipping costs.

8. Transport damage

In the case of an externally damaged parcel, it shall be opened in the presence of the Courier and the observation of the possible damages to the content shall be recorded.

In the case of transport damage noticed after delivery, the damage shall be immediately reported to the courier in charge of the delivery and its specific complaint form shall be filled in and sent to the Courier. Not following the above procedure and not respecting specific time limits, prevents damage definition.

9. Defective Material or Not Compliant to Order

Once the defect or the non conformity to order of the material is observed and recorded, the Client has the right to the repairing, substitution of the material or to its total or partial value refund (partial: in the event that the damage is minor and does not affect the functionality of the product). We accept only written complaints, to be sent to us within 5 working days from the goods delivery (from the delivery of the first parcel, in case of multi-parcel shipping), for not used material, intact and in its original packaging, only after our authorization to return it.

Received the material, the value of the goods will be refunded (including the relevant packaging & transport costs and the credit card/PayPal or other potential financial instruments costs relevant to the payment) or other equivalent Non Defective articles will be sent to the Client. For Defective Material or Not Compliant to Order, after Mb Adv S.r.l. (MOTORBIKEADVENTURE.COM) authorization, the material is to be returned to our Wharehouse (the address of which will be communicated to the Client in the authorization to return e-mail) with the lettering on “Defective Material or Not Compliant to Order N. XXXXXX”.

It is always needed to ask for authorization to Mb Adv S.r.l. to return the material and to provide Mb Adv S.r.l. with the evidence about the integrity of the material (electronic photo and accompanying e-mail, with subject “Authorization request for Return for Defective Material or Not Compliant to Order – Order Number xxxxx” and the below mentioned letter scanned, addressed to: info@motorbikeadventure.com). Without the above mentioned prior authorization, parcels for return are not accepted, neither free port nor freight collect. During the authorization to return phase, the Client will be informed about the correct shipping procedure to be respected. Copy of the invoice and a written declaration of the will for substitution of the articles or for their value refund (reporting all the Client references – including national insurance code and/or VAT and Registration number- with readable name, surname and sign) are to be annexed to the parcel.

10. Right of Withdrawal

We ensure our Clients a right of withdrawal or substitution of the material within 14 days from the delivery (from the delivery of the first parcel, in case of multi-parcel shipping), for not fitted, not used material, intact and in its original packaging, only after our authorization to return it. The right of withdrawal (return or replacement), as per EU directive, does not apply to products made exclusively on the Client's order and to products customised for the Client.

Received the material, the value of the good will be refunded (neither the relevant packaging & transport costs and nor the credit card/PayPal or other potential financial instruments costs relevant to the payment). For withdrawal, after our authorization, the material is to be returned to our Wharehouse (the address of which will be communicated to the Client in the authorization to return e-mail), with the lettering on “Material for Contractual Withdrawal”.

It is always needed to ask for authorization to Mb Adv S.r.l. to return the material for withdrawal and provide Mb Adv S.r.l. with the evidence about the integrity of the material (electronic photo and accompanying e-mail, with subject “Authorization request for Return for Withdrawal – Order Number xxxxx” and below letter scanned, addressed to: infor@motorbikeadventure.com). Without the above mentioned prior authorization, parcels for return are not accepted, neither free port nor freight collect (free port is not admitted). During the authorization to return phase, the Client will be informed about the correct shipping procedure to be respected. Copy of the invoice and a written declaration of the will to determine the purchase contract (reporting all the Client references – including national insurance code and/or VAT and Registration number- with readable name, surname and sign) are to be annexed to the parcel,

11. Warranty

We guarantee sold products for 24 months from the date of purchase, for products purchased and personally used by private Clients (Consumers). The warranty is for 12 months for products purchased by professional users. Possible found deficiencies or manufacturing defects are to be communicated by written communication to: Mb Adv S.r.l. – Via Antonelli, 35-37 – 00049 Velletri – Italy, reporting the Order number. Products used in competitions, races, similar uses or however in conditions different from those for what articles are designed for are excluded from the warranty effects.

It is always needed to ask for authorization to Mb Adv S.r.l. to return the material for warranty reasons and provide Mb Adv S.r.l. with the evidence about the reason why warranty should be applied (electronic photo and accompanying e-mail, with subject “Authorization request for Return/Assistance for Warranty – Order Number xxxxx” and below letter scanned, addressed to: infor@motorbikeadventure.com). Without the above mentioned prior authorization, parcels for return are not accepted, neither free port nor freight collect. During the authorization to return phase, the Client will be informed about the correct shipping procedure to be respected. Copy of the invoice and a written declaration of the will to apply for the warranty (reporting all the Client references – including national insurance code and/or VAT and Registration number- with readable name, surname and sign) are to be annexed to the parcel.

12. Retention of title (Retention of property)

Delivered goods remain Mb Adv S.r.l. property until Client’s relevant payment is completed.

13. Retention of modification

We reserve our right to modify partially or totally our pricing list and the technical features of our products. For all products on our internet shop the clause “while stocks last” applies.

ATTENTION: All images contained on the website www.motorbikeadventure.com (shop.motorbikeadventure.com) are merely indicative, therefore our company reserves the right to make changes to the products without any prior notice according to manufacturers’ changes.

All the trademarks, service marks and trade names belong to their respective owners.

14. Product Use

The use of the products for purposes other than specified is prohibited.

MB ADV S.r.l. is not held responsible for any damage resulting from improper, erroneous or unreasonable use or failure to comply with the assembly instructions, where available.

15. Any other business

Mb Adv S.r.l. at its sole unquestionable judgement is entitled to retire products from sale. Who purchases by mail order (by the internet) on behalf of other interested parties (commissioners) accepts in full the terms & condition here reported.

16. Jurisdiction

In compliance to art. 14 of the D.Lgs 185/99 of the Italian Republic, any dispute is under the jurisdiction of the Court of Velletri (RM) – Italy, except in the cases indicated in the same D.Lgs 185/99.
